Evaluate It by SQM Shopper Agreement

Although Mystery Shopping can be fun, it is very important to realize that it is also serious business. Evaluate It by SQM clients are expecting accurate, unbiased, informative, high quality reports that they can use to improve their business. Evaluate It by SQM is bound by contractual agreement to provide this to each client in a timely fashion. Mystery Shoppers are an integral part of this process. It is therefore essential that you understand and adhere to the following agreement. Please read it carefully as it sets forth the terms and conditions of your relationship with Evaluate It by SQM.

1.
  Evaluate It by SQM will reimburse you for a pre-determined amount of the outlined costs associated with each assignment (approximately 50%). Reimbursements do vary based on the assignment, and it is your responsibility to review the instructions for each individual project. The terms for reimbursement will be indicated on the instructions. You will be responsible for the remaining costs associated with the project. It is important to note that Evaluate It by SQM will only reimburse you based upon successful completion of your evaluation report. These terms will also be indicated on the instructions.

  Reimbursements will only be paid if accompanied by a receipt and only after completion, submission and approval of the report.
3.
  Evaluate It by SQM will not reimburse you for expenses not directly related to the assignment itself. These expenses may include, but are not necessarily limited to:
  • Mileage
  • Gas
  • Public transportation to and from
  • Fax charges
  • Long-distance telephone, etc.
4.
  In order to get paid for work completed, you must pay for the necessary expenses at the time of the evaluation, using cash, credit card or debit card (as outlined on the project specific instructions). In addition, you must submit your evaluation report on time (as outlined on the project specific instructions). This must be done online via the Evaluate It by SQM website. It is not necessary to submit the original receipt as long as it is legible. Upon the successful completion of your evaluation, Evaluate It by SQM will reimburse you the pre-determined amount of costs associated with each assignment, and a cheque (or direct deposit) will be issued to you.

5.
  Evaluate It by SQM will send you assignments on an "as needed" basis. You are under no obligation to accept an assignment and Evaluate It by SQM is under no obligation to give you assignments and may terminate its relationship with you at any time and for any reasons it deems proper. If you choose not to accept an assignment, you agree to notify Evaluate It by SQM immediately by phone 416-444-4491; 800-866-2624 or fax 416-444-2422, 800-866-7845 or E-mail sqm@sqm.ca, so that the assignment can be issued to another shopper.
6.
  You agree to read the Shopper Instructions thoroughly for each assignment.

  You acknowledge and understand that it is your responsibility to know and to follow the instructions provided to you. Failure to do so may result in the report being useless. Should the client not be able to use the report because it was not completed as requested, Evaluate It by SQM has the right to withhold payment to you for that assignment or to demand a refund from you if payment was already made.

8.
  You agree not to accept an assignment if you are an immediate family member, employee, ex-employee, or friend of our client or its employees, directors or shareholders or for any other reason that would inhibit you from completing an unbiased report. Should you accept such an assignment, Evaluate It by SQM has the right to withhold payment to you for that assignment or to demand a refund from you if payment was already made.
9.
  You agree to submit reports within the assigned time period provided on your assignment sheet. Failure to submit reports within this time period may result in a re-assignment to someone else, and you will not be paid or reimbursed for expenses for any assignment that must be reassigned due to your lack of communication with Evaluate It by SQM or your submission of late reports.

10.
  It is perfectly acceptable for you to act as a "Mystery Shopper" (including a secret shopper, a mystery guest, or mystery diner) in an independent contractor capacity for any other mystery/secret shopping/dining organization or its parent, subsidiary or related company ("competitor"). However, you cannot perform any work for us presently, or in the future, if you or your immediate family member: Hold(s) a salaried or hourly employed position, whether full or part time, with a competitor; or Perform(s) any non-Mystery Shopper-type work for a competitor including, but not limited to, a managerial or supervisory role; or Are/is an owner, shareholder, director, officer, of a competitor business. Should you perform work for us and not disclose that you, or your immediate family member, have (has) any of the above listed relationships with a competitor or you directly or indirectly provide a competitor with "confidential information" you will not be paid or reimbursed for expenses for any assignments performed for Evaluate It by SQM and Evaluate It by SQM may demand a refund from you if payment was already made. Furthermore, you may be exposed to legal action.

11.
  In addition, while performing an assignment for us you must not:
  • Be intoxicated by alcohol or drugs. Further, it goes without saying that drinking and driving to or from an assignment is completely unacceptable.
  • Conduct yourself in any manner that would serve to undermine the integrity and effectiveness of the mystery shop or damage the reputation of Evaluate It by SQM. This would include, but is not limited to, advising our clients' staff that you are performing a mystery shop, seeking or receiving reward from our clients' staff in exchange for a promise of a more favourable report, swearing or wearing inappropriate attire during your assignment.
  • Fabricate information or details.
  • Provide, share, release, or discuss any forms, questions, instructions or directions with anyone unauthorized by Evaluate It by SQM. All forms, instructions, information, internet web sites and other electronic forms of communication, as well as data found within are the sole property of Evaluate It by SQM and its related clients.
  • Provide the information you gather to our client directly, or to its competitors, whether for profit or not.
  • Engage in unauthorized solicitation, religious proselytizing or any political activity while interacting with our clients' staff.
Should you engage in any of the above acts you will not be paid or reimbursed for expenses for any assignment in which you engaged in these acts and Evaluate It by SQM may demand a refund from you if payment was already made. You may also be exposed to legal action.

12.
  While carrying out, or as a result of carrying out, an assignment for us, Evaluate It by SQM is not responsible to anyone for the following:
  • Any injury or illness suffered;
  • Any property that is lost, stolen or damaged (including your computer);
  • Any fines or penalties levied due to your own unlawful behaviour;
  • Any purchase or expense you were not required by us to make, including evaluating the wrong location or buying the wrong product;
  • Warranties or guarantees provided or implied by the manufacturer, retailer or wholesaler of any product or service purchased.

13.
  You agree to indemnify and save harmless Evaluate It by SQM from any losses it may sustain (plus pay legal costs, and pre and post judgment interest) as a result of your breach of this Shopper Agreement.
14.
  This Shopper Agreement shall be governed by, but not limited to, the Laws of the Province of Ontario, Canada.

15.
  The headings in this Shopper Agreement are for ease of reference only and do not form part of this Shopper Agreement.

16.
  You agree that in accepting an assignment you are accepting responsibility for your own safety and well being and that Evaluate It by SQM does not and will not provide insurance of any kind, private or public. As you are an independent contractor, the responsibility to provide such insurance is yours and Evaluate It by SQM will not be responsible for any injury, pain or suffering which might arise as a result of your having accepted and performed an assignment.

17.
  You agree to take all precautions for your own safety and to follow the instructions of Evaluate It by SQM and the customer in performing your duties.
